End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Buddega NYC LLC dba Cannabis Realm of NY (“Company,” “we,” “us,” or “our”) regarding your use of our mobile application (“App”). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal, non-commercial purposes, strictly in accordance with the terms of this Agreement.

All rights, title, and interest in and to the App, including but not limited to any content, graphics, user interface, and software, are owned by the Company or its licensors. This Agreement does not convey to you any rights of ownership in the App.

5. Updates

The Company may from time to time in its sole discretion develop and provide App updates, which may include upgrades, bug fixes, patches, and other error corrections and/or new features (collectively, including related documentation, “Updates”). Updates may also modify or delete in their entirety certain features and functionality. You agree that the Company has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.

6. Termination

This Agreement is effective until terminated by you or the Company. Your rights under this Agreement will terminate automatically without notice from the Company if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the App and delete all copies of the App from your devices.

7. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, THE COMPANY EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY MAKES NO WARRANTY THAT THE APP WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE APP.

9. Governing Law

This Agreement and any disputes related thereto shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

11. Acknowledgment

By downloading, installing, or using the App, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
